Welcome to the online ordering service for Isla Vista Food Co-op, powered by Provisions Co-op Wholesale (the "Service"). These Terms of Use ("Terms") govern your access to and use of the Service.
By accessing or using the Service, or by creating an account or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are accessing the Service on behalf of an organization or household, you represent that you have authority to bind that party, and these Terms apply to you and to that party jointly.
1. Who operates the Service, and who sells the goods
The technology platform behind the Service is operated by Provisions Co-op Wholesale ("Provisions"). Provisions provides the website, account system, and order-management tools.
The goods you order are sold to you by Isla Vista Food Co-op (the "Seller"). Isla Vista Food Co-op is the merchant of record for your order: it lists the items available, sets pricing, fulfills your order, handles pickup logistics, and is your point of contact for order-specific questions and refunds.
References to "we", "us", or "our" in these Terms mean Provisions and Isla Vista Food Co-op together where the obligation is shared, and the relevant party where it is not.
2. Your account and acceptable use
You must be at least 18 years old to create an account or place an order. You agree:
- To provide accurate and current information about yourself
- To keep your account credentials confidential and to notify us via the support page of any unauthorized access
- That you are responsible for all activity under your account
- To pay all charges incurred by orders placed through your account at the prices in effect at the time, including any applicable taxes and fees
- Not to share your credentials, transfer your account, or impersonate another person or entity
- Not to attempt to access another user's account, scrape data, reverse-engineer the Service, or use automated means to interact with the Service without our prior written permission
- Not to upload viruses or malicious code, or to interfere with the normal operation of the Service
- Not to use the Service to harass, threaten, defame, or discriminate against other users, Isla Vista Food Co-op staff, producers, or suppliers
- Not to use the Service to violate any applicable law
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or for any other reason permitted by law.
3. Orders, pickup, and cancellation
Orders are placed during scheduled order cycles set by the Seller and picked up at locations and times the Seller designates. Availability and pricing are set per cycle.
- You may modify or cancel your order yourself any time before the order cycle closes.
- After the cycle closes, contact the Seller via the support page; changes after close are at the Seller's discretion based on fulfillment status.
- If you do not pick up your order, the Seller may still charge you for items prepared on your behalf. Perishable items not picked up may be donated, redistributed, or discarded at the Seller's discretion.
4. Payments and variable-weight items
When you place an order, we authorize a hold on your payment method for the estimated maximum total shown in your cart. For items priced by weight (such as produce or meat), that estimate is calculated using the maximum listed weight of each item.
When your order is fulfilled, your payment method is charged the actual amount based on the weights and items packed for you, which may be less than the authorized hold. The difference is released by your bank; timing varies by bank. You will not be charged more than the authorized hold. If a producer's actual weight slightly exceeds the listed maximum, the producer absorbs the excess at no additional cost to you.
Payments are processed by Stripe. Funds for the goods are paid to Isla Vista Food Co-op as the merchant of record. Refund requests are handled by Isla Vista Food Co-op via the support page.
5. Food safety and product information
Product descriptions, ingredient information, and allergen notes are provided by Isla Vista Food Co-op and its producers and suppliers. We take care to provide accurate information, but we cannot guarantee it is complete or current. If you have a food allergy or other dietary restriction, confirm ingredients with Isla Vista Food Co-op or the producer before consuming. Perishable items are time- and temperature-sensitive — pick up promptly and store appropriately.
6. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Provisions, Isla Vista Food Co-op, and our respective officers, directors, employees, members, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, or (c) your violation of any law or the rights of a third party.
7. Disclaimers and limits on liability
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, and except for liability that cannot be limited under applicable law, neither Provisions nor Isla Vista Food Co-op, nor our respective officers, directors, employees, members, or agents, will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or data, arising out of or related to these Terms or your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability under or related to these Terms or your use of the Service will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid us through the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of warranties or damages. In those jurisdictions, the limits in this Section apply only to the maximum extent permitted by law.
8. Governing law and disputes
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the state in which Isla Vista Food Co-op is located, without regard to its conflict-of-laws principles. You and we consent to the exclusive jurisdiction and venue of the state and federal courts located in that state, except where applicable consumer-protection law gives you the right to bring a claim in your home jurisdiction.
Before filing a claim, we encourage you to contact us first via the support page so we can try to resolve the issue informally — most concerns are resolved quickly that way.
9. Survival
Sections 6 (Indemnification), 7 (Disclaimers and Limits on Liability), 8 (Governing Law and Disputes), and any other provisions intended by their nature to survive will survive termination of these Terms or of your account.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on the Service and update the "Last updated" date at the top of this page. Your continued use of the Service after we post updated Terms constitutes your acceptance of the changes. For material changes, we will provide additional notice (such as by email or by an in-Service banner). If you do not agree to updated Terms, you must stop using the Service.
11. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, by operation of law, or otherwise. These Terms do not create any third-party beneficiary rights or any agency, partnership, joint venture, or employment relationship between you and us.
